Terms Of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by The Little Ghost Creative Co. LLC d.b.a “The Little Ghost” (“we,” “us,” or “our”), including executive ghostwriting, LinkedIn brand strategy, content coaching, and related advisory services (“Services”). By engaging our Services — whether through a signed agreement, invoice acceptance, or written confirmation — you (“Client”) agree to these Terms in full.
1. Services
The specific scope, deliverables, and timeline of Services will be defined in a separate Statement of Work, proposal, or written agreement between the parties. These Terms apply to all such engagements unless expressly superseded by a signed contract.
We reserve the right to decline or discontinue Services at our discretion, including in cases of non-payment, breach of these Terms, or circumstances that compromise our ability to deliver quality work.
2. Engagement Models
We offer Services on both a monthly retainer and project basis:
Retainer engagements are billed on a recurring monthly cycle. The scope and deliverables for each cycle will be agreed upon in writing prior to commencement.
Project-based engagements are scoped individually, with payment terms outlined per project agreement.
All engagements are confirmed upon receipt of a signed agreement or written approval and the applicable deposit or first full payment.
3. Payment Terms
Invoices are due upon receipt unless otherwise specified in writing. Retainer fees are due at the start of each billing cycle. Project fees may require a deposit prior to work commencing, with the balance due upon delivery or at agreed milestones.
Overdue invoices may result in a pause or termination of Services. We reserve the right to charge a late fee of 1.5% per month on balances unpaid after 30 days.
4. No Refund Policy
All fees paid to The Little Ghost are non-refundable. Once work has commenced including strategy, research, drafting, or any advisory activity, no refunds will be issued, in whole or in part.
For retainer engagements, fees paid for a given month are non-refundable regardless of whether all deliverables within that cycle were utilized by the Client. It is the Client’s responsibility to engage with and make use of agreed deliverables within the applicable period.
If we are unable to fulfill a material portion of a committed deliverable due to circumstances within our control, we will work in good faith to remedy this through revised timelines or scope adjustments.
5. Intellectual Property
Upon receipt of full payment for the applicable engagement or billing cycle, the Client owns all final deliverables produced by The Little Ghost on their behalf. This includes written content, strategic frameworks, and other materials created specifically for the Client under these Terms.
Prior to full payment, all work product remains the property of The Little Ghost. We retain the right to withhold delivery of any materials until outstanding balances are settled.
The Little Ghost retains ownership of all proprietary methodologies, templates, processes, and internal tools used in delivering Services. Nothing in these Terms transfers ownership of our underlying systems or intellectual property to the Client.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of the engagement. We will not disclose your business strategy, personal background, or content to any third party without your written consent.
The Little Ghost does not publicly disclose the identity, name, or affiliation of any current or former client — under any circumstances — without prior express written permission. This applies to all public-facing materials, including case studies, testimonials, social media, media appearances, and new business pitches. See our Privacy Policy for further detail.
7. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information necessary to perform the Services
Review and provide feedback on deliverables within agreed timelines
Ensure that any materials you provide to us do not infringe upon the rights of any third party
Use content produced by The Little Ghost in compliance with applicable laws and platform terms
We are not responsible for errors, delays, or substandard output resulting from incomplete, inaccurate, or untimely information provided by the Client.
8. Limitation of Liability
To the fullest extent permitted by applicable law, The Little Ghost’s total liability to you for any claims arising out of or related to these Terms or the Services — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you to The Little Ghost in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall The Little Ghost be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, reputational harm, or loss of business opportunity, even if advised of the possibility of such damages.
We make no guarantees regarding specific business outcomes, follower growth, engagement rates, lead generation, or revenue attributable to content or strategy produced under these Terms. Results depend on numerous factors outside our control.
9. Termination
Either party may terminate a retainer engagement with 30 days’ written notice (unless otherwise agreed to by the Client and The Little Ghost). Project-based engagements may not be terminated given payment is submitted upfront.
We reserve the right to terminate immediately and without notice in cases of non-payment, abusive conduct, or material breach of these Terms. In such cases, no refund of fees already paid will be issued.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Colorado.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients in writing. Continued engagement with our Services after an update constitutes acceptance of the revised Terms.
